Force Majeure

以往看合約的不可抗力條款（force majeure clause）總是草草了事，心想大概都是類似的免責條文，而且香港不大會發生天災戰爭吧。但現在影響全球的新冠肺炎大流行，卻迫使很多公司動用不可抗力條款了。

Force majeure源自法文，照字面繙譯為“superior strength"（超常的力量）。Force majeure現在常用於契約上，指「不可抗力」，即是「不可預見和控制的災難」（unforeseen and uncontrollable calamities），例如地震、戰爭，使無法履行契約。若發生此類事件，可以合法地允許更改或終止協議。

Force majeure常配動詞declare（宣告）、activate（啟用）、invoke（援引）、manage（應付）等等。例句︰The company declared force majeure on contracts after a three-week national lockdown forced operations to close.（為期三星期的全國封城迫使該公司關閉，公司期後宣布不可抗力。）How can contractors manage force majeure risks from possible payment delays and cost overruns？（承包商如何管理可能發生的付款延遲和成本超支所帶來的不可抗力風險？）
